Welcome to Clary. These Terms of Service ("Terms") govern your access to and use of the Clary mobile application ("App") and related services provided by Clary ("we," "our," or "us"). By downloading, installing, or using Clary, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Clary, you confirm that you are at least 13 years old (or the minimum age required in your jurisdiction) and agree to comply with these Terms. If you are using Clary on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Clary is an AI-powered productivity application that helps you capture, organize, and complete tasks. The App includes features such as:

  • Natural language task creation and management
  • AI-powered scheduling and recommendations
  • Voice and image-based task capture
  • Calendar and reminder integrations
  • Productivity tracking and streaks

Some features require a Clary Pro subscription. We may modify, suspend, or discontinue features at any time with reasonable notice.

3. User Accounts

To use Clary, you must create an account using Apple Sign-In, Google Sign-In, or email registration. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and current account information
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

Free Tier: Clary offers a free tier with limited features. No payment is required for the free tier.

Clary Pro: Premium features are available through a Clary Pro subscription at the following prices:

  • Monthly: $8.99 USD per month
  • Annual: $69.99 USD per year (equivalent to approximately $5.83/month)

Free Trial: New users receive a 7-day free trial of Clary Pro. You will not be charged until the trial period ends, and you may cancel at any time before then.

Billing: Subscriptions are billed through the Apple App Store. Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.

Cancellation: You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree to use Clary only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the App for any illegal or unauthorized purpose
  • Attempt to reverse engineer, decompile, or disassemble the App
  • Use automated systems or bots to access the App
  • Abuse, harass, or harm other users
  • Circumvent any security or access controls
  • Use AI features to generate harmful, abusive, or illegal content
  • Exceed reasonable usage limits that may degrade service for other users

We reserve the right to implement rate limiting on AI features to ensure service quality for all users.

6. Intellectual Property

Clary and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of all content you create within the App (your tasks, notes, etc.).

You grant us a limited license to use, store, and process your content solely to provide and improve our services.

7. AI Features Disclaimer

Clary's AI features are designed to assist with productivity and task management. However:

  • AI suggestions may not always be accurate or appropriate for your situation
  • You are responsible for reviewing and verifying AI-generated content
  • AI features should not be used as a substitute for professional advice
  • We do not guarantee specific outcomes from using AI features

8. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of Warranties

CLARY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE SERVICE

We do not guarantee that the App will meet your requirements or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLARY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR CLARY PRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Clary and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your access to Clary immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the App will cease immediately. You may request deletion of your account and associated data at any time.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by updating the "Last Updated" date and, where appropriate, through in-app notifications. Your continued use of Clary after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clary regarding your use of the App, superseding any prior agreements.
